Terms of Service

1. Acceptance of Terms

By accessing or using ProofReports ("Service"), you agree to be bound by these Terms of Service and all applicable laws. If you do not agree, please do not use the Service.

2. Description of Service

ProofReports provides automated business trust scores ("ProofScore") based on publicly available information and third-party data sources including Google, WHOIS/RDAP, DNS, SSL, BBB, OFAC, federal courts, SAM.gov, USPTO, FMCSA, licensing, and more.

ProofScores are informational only. They do not constitute professional legal, financial, or due diligence advice. Users should conduct their own research before making business decisions.

3. Accounts and Guest Purchases

You can buy a single report without creating an account (a "guest purchase"). Guest purchases are tied to the email address you enter at checkout, and access is temporary: you can view the report from the browser you bought it in for 7 days after purchase.

To keep a guest-purchased report, create a free account using the same email within that period. Your report, purchase history, and payment records are attached to the account automatically - there is nothing to transfer. If you do not create an account, you will lose access to the report when the guest access period ends. To restore access after that, you must create an account with the email used at purchase.

Subscriptions, report credits, and your reports dashboard require an account with a valid email address. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

You must be at least 18 years of age to use the Service.

4. Purchases and Subscriptions

Single report purchases grant access to one full business report. Monthly and annual plans include up to 10 reports per UTC day. Each new report or included refresh uses one daily report slot, and each report includes one refresh per UTC day. Stored one-time credits remain separate from subscription allowances. All payments are processed securely via Stripe. Single reports bought as a guest are subject to the guest access period described in Section 3; all other terms in this section apply equally to guest purchases.

Subscriptions auto-renew at the end of each billing period. You may cancel at any time through your billing dashboard. Cancelling during the free trial ends access immediately and you will not be charged; cancelling a paid subscription remains effective through the end of its current paid period. We do not offer refunds for partial paid subscription periods.

5. Accuracy of Information

We strive to provide accurate and up-to-date information, but we make no warranties of any kind, express or implied, regarding the accuracy, completeness, or timeliness of any data provided.

Public records may be outdated, incomplete, or incorrect. ProofReports is not responsible for errors in third-party data sources.

6. Prohibited Uses

You may not use the Service for any unlawful purpose, to harass or harm individuals or businesses, to scrape or data-mine our platform, to submit false business claims, or to resell reports without our express written permission.

7. Intellectual Property

All content, design, and software constituting the ProofReports platform are the exclusive property of ProofReports and protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without written consent.

8. Limitation of Liability

To the maximum extent permitted by law, ProofReports shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, including but not limited to lost profits, loss of data, or business interruption.

Our total liability for any claim arising from these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.

9. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify registered users of material changes by email. Continued use of the Service after changes constitutes acceptance of the updated Terms.
